-  Franchises are regulated by the FTC and must send a potential client a Uniform Franchise Offering Circular (UFOC).  The UFOC contains, among many other valuable things, a history of litigation (lawsuits from unhappy franchisees, usually) and a complete list of all of their franchisees with contact information.  This makes it much easier to do your due diligence and investigation of the business.  There is usually an ongoing royalty and sometimes a monthly advertising fee to pay.  These payments help sustain the ongoing support you should receive from the franchisor.

-  Business Opportunities are not regulated by the FTC and do not have to provide most of the valuable information contained in a UFOC.  Therefore,
due diligence is more difficult.  However, the trade off is that usually there are no royalty payments or advertising fees.  So, you save a lot of money every year by not having to pay anything to the parent company.  Sometimes the parent company makes their ongoing profits by providing you with products or services that you must or may have the option to buy from them.  Many times, you get all of the support of a franchise without any of the fees.

Another trade off is that most business opportunities cost much less than franchises.  Also, with most business opportunities, you usually have much more freedom with how you operate your business.  They are far more flexible than the heavily regulated franchises.  You may or may not get a protected territory. This can be a plus, depending on what kind of business it is.
